Terms of Service

These terms govern your use of Omnia, the agent-automation platform operated by Damian Jabłoński tribe. Please read them before you create an account. If you are a consumer, nothing here limits rights you have under mandatory law.

1.Who we are

Omnia is operated by Damian Jabłoński tribe, ul. Modlińska 61, lok. 106, 03-199 Warszawa, Poland, NIP 5243008010, EU VAT PL5243008010, REGON 528741561 ("we", "us", "our"). You can reach us at team@omnia-inteligance.com or +48 606 904 443.

In these terms, "you" means the person or organisation using Omnia, and "Service" means the Omnia platform, its console, its chat interface, its connectors and its APIs.

2.What these terms cover

These terms form the agreement between you and us for your use of the Service. By creating an account or using the Service, you accept them.

Two further documents form part of this agreement: the Privacy Notice, which explains what we do with personal data, and the Data Processing Agreement, which applies when we process personal data on your behalf. Where the Data Processing Agreement conflicts with these terms on a question of data protection, that agreement prevails.

3.What Omnia does

Omnia connects to services you already use, runs automations against them, and reports on what happened. You describe what you want in the Omnia chat, and the platform configures and runs the automation.

Some parts of the Service are labelled in the console as demonstration or as not yet available. Those labels are accurate and binding: a feature marked as sample data does not reflect your real data, and a feature marked as unavailable has no working implementation behind it. Do not rely on a labelled feature as though it were live.

4.Eligibility and your account

You must be at least 18 years old to use the Service. If you accept these terms on behalf of an organisation, you confirm you are authorised to bind that organisation, and "you" then means the organisation.

You are responsible for the accuracy of your account details, for keeping your credentials confidential, and for everything done through your account. Tell us promptly at team@omnia-inteligance.com if you believe your account has been used without your permission.

5.Connected accounts and your data

The Service works by connecting to accounts you hold with third parties. When you connect an account, you authorise us to access it and act on it to the extent needed to run the automations you have configured.

You keep all rights in the data you bring to the Service and in the data we read from your connected accounts. We use it to provide the Service to you and for nothing else. We do not sell it, and we do not use your content to train models for other customers.

You are responsible for having the right to connect each account and to have us process the data it contains, including where that data concerns other people.

6.Acceptable use

You agree not to use the Service to:

  • break the law, or infringe anyone else’s rights
  • send unsolicited bulk messages, or anything a connected platform prohibits
  • access an account or system you are not authorised to use
  • probe, overload, or interfere with the Service or the infrastructure behind it
  • circumvent usage limits, billing, or access controls
  • resell or provide the Service to a third party without our written agreement

The rules of the platforms you connect apply to you as well as to us. If a connected platform suspends access because of how you used the Service, we cannot restore it for you.

7.Plans, fees and invoicing

Paid plans, their prices and what they include are shown before you subscribe. Prices are stated in the currency shown at checkout. Where VAT applies it is shown separately.

Some parts of the Service are metered: you pay for what you use, measured by the platform, and the console shows your current usage. We invoice in arrears for metered usage and in advance for recurring subscription fees, unless the plan says otherwise.

If an invoice is not paid when due, we may suspend the Service after telling you and giving you a reasonable period to pay. Statutory interest applies to late payment.

We may change prices for future billing periods. We will tell you at least 30 days beforehand, and you may terminate before the change takes effect.

8.Right of withdrawal (consumers)

If you are a consumer — a natural person acting outside your trade, business or profession — you may withdraw from this agreement within 14 days of concluding it, without giving a reason. The same right applies to a sole trader concluding a contract not of a professional character for them.

To withdraw, send an unambiguous statement to team@omnia-inteligance.com or to ul. Modlińska 61, lok. 106, 03-199 Warszawa, Poland. Sending it before the 14 days expire is enough.

If you ask us to start providing the Service during the withdrawal period, and you then withdraw, you pay a proportionate amount for what was provided up to that point. If you expressly consent to immediate performance and acknowledge that you will lose the right of withdrawal once the Service has been fully performed, that right ends on full performance.

We refund within 14 days of receiving your statement, using the same payment method you used.

9.Availability and changes to the Service

We aim to keep the Service available, but we do not promise it will be uninterrupted or error-free. We may take it down for maintenance, and will give notice where we reasonably can.

Much of what the Service does depends on third-party platforms we do not control. If one of them changes an interface, restricts access, or fails, the corresponding part of the Service may stop working. We will tell you when we become aware of it.

We may add, change or remove features. If a change materially reduces what you have paid for, you may terminate and receive a refund of the unused portion of any prepaid fee.

10.Intellectual property

The Service, its software, design and documentation are ours or our licensors’. We grant you a limited, revocable, non-exclusive, non-transferable right to use the Service under these terms for as long as this agreement lasts. Nothing else is granted.

If you send us feedback or suggestions, we may use them without obligation to you. Feedback is not confidential unless you tell us it is.

11.Data protection

How we handle personal data is described in the Privacy Notice.

Where we process personal data on your instruction — for instance data we read from your connected accounts — we act as a processor and you act as the controller. The Data Processing Agreement governs that processing and applies automatically from the moment you connect an account.

12.Liability

Nothing in these terms excludes liability that cannot lawfully be excluded, including for death or personal injury caused by negligence, for intentional fault, and, for consumers, under statutory warranty and conformity rules.

Subject to that: our total liability for all claims arising in any 12-month period is limited to the fees you paid us for the Service in that period, or EUR 500 if you paid nothing.

We are not liable for indirect or consequential loss, lost profit, lost data, or lost business opportunity. This limitation does not apply to consumers, whose liability position is governed by the general rules of Polish civil law.

You remain responsible for reviewing what automations do before you rely on their output. The Service assists your work, it does not replace your judgement.

13.Term, suspension and termination

This agreement runs until you or we end it. You may close your account at any time in the console or by writing to us.

We may suspend or terminate your access if you materially breach these terms, if required by law, or if your use creates a security, legal or technical risk. Except where the breach is serious or the law requires immediate action, we will tell you first and give you a chance to put it right.

On termination we stop the Service, and your data is deleted or returned as described in the Data Processing Agreement. Fees already accrued remain payable; prepaid fees for a period after termination are refunded unless we terminated for your material breach.

14.Complaints

Write to team@omnia-inteligance.com with your account details and what went wrong. We reply within 14 days.

We would rather resolve a problem directly than through a dispute, so please tell us first.

15.Dispute resolution

If you are a consumer, you may use out-of-court routes: the Polish Trade Inspection (Inspekcja Handlowa), a permanent consumer arbitration court, or the European Commission Online Dispute Resolution platform at ec.europa.eu/consumers/odr. A municipal or district consumer ombudsman (rzecznik konsumentów) can advise you free of charge. Using these routes is voluntary for both sides. You may also bring a claim in the court with jurisdiction over your place of residence.

If you are not a consumer, disputes are settled by the court having jurisdiction over our registered address in Warsaw.

16.Changes to these terms

We may update these terms. We will tell you at least 14 days before a material change takes effect, through the Service or by e-mail, and you may terminate before it does. Corrections that do not affect your rights — a typo, a clarification — take effect when published.

17.Governing law and language

Polish law governs this agreement. If you are a consumer resident in another EU country, you keep the protection of the mandatory rules of your own country.

The English version of these terms is the authoritative one. The Polish version is provided for convenience; where a consumer resident in Poland is concerned and the two differ, the reading more favourable to the consumer applies.
